AnciLab is subject to the direction and coordination of ANCI Lombardia.
80% of the Company’s revenues must come from contracts awarded by ANCI Lombardia for activities defined by it.
AnciLab’s strategic choices, as an in-house company, also primarily follow the guidelines communicated by the parent company.
The corporate bodies, as identified by the statute, are centres of responsibility entrusted with managing the company through regulatory, planning, and control activities. The governance of the Company is ensured by the following bodies:
The administrative body of the company is currently composed of a CEO, who has all powers of ordinary and extraordinary administration and is exclusively responsible for managing the company and carrying out all acts necessary for the implementation of the corporate purpose, except those reserved by law or by statute for the Shareholders’ Meeting. The tasks of the CEO, including extraordinary management, are carried out in accordance with the programmatic guidelines established by the Shareholders’ Meeting and the guidelines through which the sole shareholder exercises analogous control over the company and its activities and services. The CEO has the legal representation of the Company, with the use of the corporate signature both before third parties and in court.
The Shareholders’ Meeting is composed of the legal representative of the Sole Shareholder, or his delegate, and has the powers provided by law over all fundamental acts of the Company.
The statutory audit is entrusted by the Shareholders’ Meeting to a statutory auditor or to a board of statutory auditors or to a legally registered auditing firm. Currently, the statutory audit is entrusted by the Shareholders’ Meeting to a statutory auditor.
